What is required to pass a resolution without a meeting? For companies with more than one member to pass a resolution without a meeting (a circulating resolution) requires the approval of 100% of the voting shareholders.
A circulating resolution is not available for all companies. If you are a PUBLIC company, you must have a physical meeting to pass a resolution, you may NOT use this Shareholders' Resolution.
If you are a PRIVATE (proprietary) company, you may generally use a circulating resolution so long as all shareholders sign to pass the resolution. However, if you wish to pass a resolution to remove an auditor, a physical meeting is required.
Companies with only one member do not require a meeting to pass a resolution. Instead, the resolution will be passed when it is signed by the member.
