  2. The Client is of the opinion that the Contractor has the necessary qualifications, experience and abilities to provide cleaning services to the Client.
  3. The Contractor is agreeable to providing such cleaning services to the Client on the terms and conditions set out in this Agreement.

IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the Client and the Contractor (individually the "Party" and collectively the "Parties" to this Agreement) agree as follows:

  1. Services Provided
  2. The Client hereby agrees to engage the Contractor to provide the Client with the following cleaning services (the "Services"):

  5. The Services will also include any other cleaning tasks which the Parties may agree on. The Contractor hereby agrees to provide such Services to the Client.
  6. Term of Agreement
  7. The term of this Agreement (the "Term") will begin on the date of this Agreement and will remain in full force and effect until 22 July 2024, subject to earlier termination as provided in this Agreement. The Term may be extended with the written consent of the Parties.
  8. Performance
  9. The Parties agree to do everything necessary to ensure that the terms of this Agreement take effect.
  10. Payment
  11. The Contractor will charge the Client a flat fee of €0.00 for the Services (the "Payment").
  12. The Client will be invoiced when the Services are complete.
  13. Invoices submitted by the Contractor to the Client are due within 30 days of receipt.
  14. In the event that this Agreement is terminated by the Client prior to completion of the Services but where the Services have been partially performed, the Contractor will be entitled to pro rata payment of the Payment to the date of termination provided that there has been no breach of contract on the part of the Contractor.
  15. The Payment as stated in this Agreement does not include VAT, or other applicable duties as may be required by law. Any VAT and duties required by law will be charged to the Client in addition to the Payment.
  16. The Contractor will be responsible for all income tax liabilities and PRSI or similar contributions relating to the Payment and the Contractor will indemnify the Client in respect of any such payments required to be made by the Client.
  17. Reimbursement of Expenses
  18. The Contractor will be reimbursed from time to time for the following expenses reasonably incurred by the Contractor in connection with providing the Services:

  19. Confidentiality
  20. Confidential information (the "Confidential Information") refers to any data or information relating to the Client, whether business or personal, which would reasonably be considered to be private or proprietary to the Client and that is not generally known and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.
  21. The Contractor agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the Contractor has obtained, except as authorised by the Client or as required by law. The Contractor further agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any personal information of the Client, without the prior written consent of the Client. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.
  22. Return of Property
  23. Upon the expiry or termination of this Agreement, the Contractor will return to the Client any property, documentation, records, or Confidential Information which is the property of the Client.
  24. Capacity/Independent Contractor
  25. In providing the Services under this Agreement it is expressly agreed that the Contractor is acting as an independent contractor and not as an employee. The Contractor and the Client acknowledge that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service.
  26. Autonomy
  27. Except as otherwise provided in this Agreement, the Contractor will have full control over working time, methods, and decision making in relation to provision of the Services in accordance with the Agreement. The Contractor will work autonomously and not at the direction of the Client. However, the Contractor will be responsive to the reasonable needs and concerns of the Client.
  28. Equipment
  29. Except as otherwise provided in this Agreement, the Contractor will provide at the Contractor’s own expense, any and all equipment, accessories, chemicals, solvents, cleaning fluids, workwear and any other supplies necessary to deliver the Services in accordance with the Agreement.
  30. No Exclusivity
  31. The Parties acknowledge that this Agreement is non-exclusive and that either Party will be free, during and after the Term, to engage or contract with third parties for the provision of services similar to the Services.
  32. Notice
  33. All notices, requests, demands or other communications required or permitted by the terms of this Agreement will be given in writing and delivered to the Parties at the following addresses:

  34. Indemnification
  35. Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, each Party agrees to indemnify and hold harmless the other Party, and its respective affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this Agreement. This indemnification will survive the termination of this Agreement.
  36. Modification of Agreement
  37. Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced in writing signed by each Party or an authorised representative of each Party.
  38. Time of the Essence
  39. Time is of the essence in this Agreement. No extension or variation of this Agreement will operate as a waiver of this provision.
  40. Assignment
  41. The Contractor will not voluntarily, or by operation of law, assign or otherwise transfer its obligations under this Agreement without the prior written consent of the Client.
  42. Entire Agreement
  43. It is agreed that there is no representation, warranty, collateral agreement or condition affecting this Agreement except as expressly provided in this Agreement.
  44. Enurement
  45. This Agreement will enure to the benefit of and be binding on the Parties and their respective heirs, executors, administrators and permitted successors and assigns.
  46. Titles/Headings
  47. Headings are inserted for the convenience of the Parties only and are not to be considered when interpreting this Agreement.
  48. Gender
  49. Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.
  50. Governing Law
  51. This Agreement will be governed by and construed in accordance with the laws of Ireland.
  52. Severability
  53. In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.
  54. Waiver
  55. The waiver by either Party of a breach, default, delay or omission of any of the provisions of this Agreement by the other Party will not be construed as a waiver of any subsequent breach of the same or other provisions.

Step 1: Specify the Cleaning Services Agreement’s duration

Start your Cleaning Services Agreement by specifying the duration the agreement will last between the contractor and client. Your options are:

  • Single project: until the project is complete
  • For a fixed term: until a specified date
  • Indefinitely: service is ongoing

Step 2: Describe the cleaning services the contractor is providing

Describe the cleaning services the contractor is providing the client. Include the address where the cleaning services are required and the time and date when the cleaning will take place.

Refer to the parties as "Contractor" and "Client" since these defined terms are used consistently throughout the agreement.

Step 3: State the cleaning contractor’s and client’s details

Your Cleaning Services Agreement needs to include the cleaning contractor’s and client’s details. Provide their names and addresses, and specify whether each party is an individual or company.

Step 4: Provide the billing details

Your Cleaning Services Agreement needs to specify essential billing details, such as: 

  • Rate of pay: Flat fee, or hourly, weekly, monthly, or annually rates. 
  • Deposit: A payment the client makes upfront to the contractor before the work begins. It’s usually 10 to 50% of the total contract amount.
  • Payment schedule: The contractor can be paid weekly, monthly, at the end of the contract, or when certain stages are complete. The appropriate schedule depends on the duration of the contract.
  • The interest rate on late payments: Up to 25% per year on unpaid sums is considered a reasonable late payment charge.

Step 5: State how much notice is needed to end the agreement 

Agreements lasting for indefinite periods need a clause that outlines the conditions necessary to terminate the arrangement. With fixed-term or project-based contracts, you can decide whether to include a notice period for either party to end the contract early.

State how much written notice one party needs to provide to the other party in order to end the Cleaning Services Agreement. 

The amount of required notice will likely depend on the duration of the agreement. Seven days is usually sufficient notice for most short-term contracts. However, 15 to 30 days' notice is more appropriate if the arrangement is for more than a few months.

Step 6: Specify if the client will reimburse the contractor for expenses

Some cleaning jobs might require additional purchases on the contractor’s part. Specify if the client will reimburse the contractor for additional expenses.

State in your agreement which purchases the client will cover if they will be reimbursing the contractor for expenses.

Step 7: Determine if the contractor must keep information confidential

If the contractor is likely to encounter confidential information about the client during their work, include a clause in your Cleaning Services Agreement that states how long the contractor is obligated to not reveal the private information (e.g., indefinitely or until the end of the agreement).

Step 8: Include additional clauses

If there is any relevant information relating to the cleaning services the contractor is providing the client that hasn’t been covered, you can write the additional clauses into your agreement.

Step 9: Sign the agreement

Have the contractor and client sign the agreement to complete it.

The agreement doesn't require witnesses, but it can be a good idea to include them in case the validity of the contract is ever challenged.
