What is a Contract Addendum?
A Contract Addendum is used to make amendments or changes to parts of an existing contract. The Contract Addendum is attached to the contract you are making changes to as a separate document.
When can I use a Contract Addendum?
You can use a Contract Addendum when you need to make minor changes to a contract, such as a change of date, or fixing or removing a clause.
If you need to make a major change to a contract, or the contract has already had several amendments, you might need to make an entirely new contract instead of using an addendum. Generally, a new contract should be created if it has been amended five times.
For example, if an employee is changing positions within the same company it might be tempting for the company to simply use an amendment to the employee's existing Employment Contract to save time. However, they may realize that the number of changes that need to be made (such as compensation, job title, hours of work, vacation time, etc.) might require them to create a new contract altogether.
How do you write a Contract Addendum?
When writing a Contract Addendum, the following basic information should be included:
- The full names of all the parties listed in the original contract (including the names of companies or organisations)
- A description of the contents of the original contract (what it is for) as well as the date the contract was signed
- A description of the amendment that you want to make, i.e. if you need to replace an entire clause, indicate which clause is going to be replaced, then provide the new clause
- The date the amendment is to be signed by the parties (if the date is known)
Wherever possible, the same font, font size, and margins from the original contract should be used for the addendum.
